These Terms and Conditions ("Terms") govern your access to and use of the Nexa Leads platform, website, and all related services. By creating an account or using our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.
"Nexa Leads," "we," "us," or "our" refers to Nexa Leads LLC. "Services" refers to our pay-per-call platform, website, dashboards, APIs, and all related offerings. "Publisher" refers to users who generate and send calls to our platform for monetization. "Buyer" refers to users who purchase qualified calls through our platform. "User," "you," or "your" refers to any individual or entity using our Services.
You must be at least 18 years old and capable of forming a binding contract. You must provide accurate, complete, and current information during registration. You are responsible for maintaining the confidentiality of your account credentials. You are responsible for all activity under your account. We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion.
Publishers agree to: send only compliant traffic that adheres to TCPA regulations and our quality standards; not engage in fraudulent activity, spam, robocalls, or incentivized calling; provide accurate traffic source information; maintain the confidentiality of tracking numbers and platform data; and accept our call qualification determinations as final for billing purposes. Payouts are processed weekly on Fridays via the method selected during onboarding. Nexa Leads reserves the right to withhold payment for calls determined to be fraudulent or non-compliant.
Buyers agree to: pay for all qualified calls routed to their account at the agreed-upon rates; not record, share, or resell calls without proper disclosure and consent; use calls solely for their stated business purposes; comply with all applicable laws including TCPA, FTC regulations, and state-specific calling laws; and maintain accurate payment methods on file. Calls are billed as delivered. Credits for non-qualifying calls are determined in accordance with our call quality policy.
You agree not to: use the Services for any unlawful purpose; violate any applicable laws or regulations; infringe upon the intellectual property rights of others; transmit spam, malware, or harmful code; attempt to gain unauthorized access to our systems; interfere with or disrupt the Services; or engage in any activity that could damage our reputation. Violation of this policy may result in immediate account termination.
The Nexa Leads platform, website, branding, logos, and all original content are the exclusive property of Nexa Leads LLC and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without express written permission.
To the maximum extent permitted by law, Nexa Leads shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our total liability for any claim arising from use of the Services shall not exceed the amount paid by you to Nexa Leads in the 12 months preceding the claim, or $1,000, whichever is greater.
The Services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that the Services will be uninterrupted, error-free, or completely secure. We make no warranties regarding call volume, conversion rates, or earnings potential.
Either party may terminate the agreement at any time with written notice. Upon termination, your right to use the Services ceases immediately. Outstanding payments to publishers and outstanding bills to buyers shall be settled within 30 days of termination. All provisions that by their nature should survive termination shall survive.
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Travis County, Texas.
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or platform notification. Continued use of the Services after changes constitutes acceptance of the modified Terms.
